Article 1 – Unless otherwise agreed in writing, all our sales are subject to these general terms and conditions. By placing an order, the buyer accepts these conditions of sale.
Article 2 – An order shall be deemed accepted only upon written confirmation.
Article 3 – The goods are transported at the buyer’s risk from the moment they are loaded, even if delivery is agreed to be free of charge. In the event of a dispute, the buyer must clearly state any reservations or remarks on the delivery note. The choice of carrier shall be made under our direction. Any claims regarding the delivery must be submitted explicitly within eight (8) days of receipt of the goods; otherwise, they will be considered null and void.
Article 4 – Delivery timelines are provided for informational purposes only. Any failure to meet the indicated delivery period, or any delay in the delivery of goods, shall not entitle the buyer to claim compensation or to terminate the agreement.
Article 5 – Goods shall be deemed accepted upon their departure from our warehouses. Such acceptance waives any right of the buyer to lodge complaints. In cases where defects justify refusal, our liability is strictly limited to the replacement of the goods acknowledged as defective, excluding any form of compensation. Replaced goods remain the property of our company. No returns will be accepted without prior written approval. VFB Automotive reserves the right to apply a 25% handling fee for returned items that are not in their original packaging or if the packaging has been opened. In all other cases, a 10% restocking fee may be charged.
Article 6 – No claims relating to hidden defects will be accepted beyond a period of three (3) months from the date of delivery. Any defects discovered within this period must be reported in writing. Such claims shall only entitle the buyer to the replacement of goods acknowledged as defective, in accordance with the terms set out in Article 5.
Article 7 – Sales are strictly reserved for professional traders. Transport costs are variable and depend on the selected transport partner, the dimensions and weight of the goods, as well as the purchase price (applicable to web orders).
Article 8 – All invoices are payable by bank transfer. Any invoice not paid by the due date shall automatically and without prior notice incur interest at the statutory rate applicable to commercial transactions, calculated from the due date. The filing of a complaint does not exempt the buyer from complying with our terms of sale and payment obligations. Ownership of the goods remains with the seller until the buyer has fully satisfied all financial obligations towards the seller.
Article 9 – Any invoice not paid by the due date shall be subject to a fixed compensation charge of 20%, with a minimum of €50, as a penalty for late payment.
Article 10 – Value Added Tax (VAT) and any other taxes or duties, whether direct or indirect, applicable to the sale shall be borne exclusively by the buyer.
Article 11 – Products can only be returned in mutual agreement and after confirmation of VFB Automation. In cases of damage or signs of wear, a full refund will not be granted. Customers are responsible for all return shipping costs.
